Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the korerospark.com website (the “Service”) operated by Korero PR Limited (hereby referred to as “Korero”, “us”, “we”, or “our”). The Service Korero Spark, available at korerospark.com and https://korero.spp.io is operated by Korero and is a subsidiary of Korero - https://korero.co.uk/terms-conditions/

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Scope of work

Services provided by Korero Spark will include and be limited to the scope of work detailed below. Any additional work provided outside of this scope of work may incur additional charges.

Media release and issue: Media release written by Korero and released to media outlets for publication. Media coverage is not guaranteed by Korero and is at the discretion of media outlets. Service includes one round of revisions made.

Blog: Blog drafted by Korero. Service includes one round of revisions made.

Social media posts (organic): Includes 12 social media posts, graphics and copy for each post included. Subsequent paid promotion of posts will be charged as extra. Service includes one round of revisions made.

Social Media paid campaign: Cost of set up of paid social media advertising campaign. Advertising budget excluded. Client must set up payment with social media advertising platform directly.

Marketing Email created in Mailchimp: Copy written and graphics created for branded emailer. Email to be created within Mailchimp. Set up and sending of campaigns / automated email flows to be discussed separately between Korero and client.

Website Build: Korero to build website to promote brand and showcase services. Website to be built using Wordpress templates or Wix website builder. Copy written by Korero, structure of website to be built within existing Wordpress or Wix templates. By entering into this agreement you understand that Korero shall not undertake any additional coding or expert web development work.

Website Content Writing: Korero to write content for client website based on client brief. Service includes one round of revisions made.

Social Selling Bundle: Service includes 1 blog; 12 x organic social media posts; and 1 sponsored Facebook or Google Ads campaign set up. Refer to individual services above for service T&Cs.

Brand Building Bundle: Service includes 1 media release; 1 blog; and 12 x social media posts. Refer to individual services above for service T&Cs.

Kick Start Bundle: Service includes website content writing; 1 PPC campaign set up (Facebook or Google); 1 blog; 1 media release; 12 social media posts. Refer to individual services above for service T&Cs.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Korero.
Korero has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Korero shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Governing Law
These Terms shall be governed and construed in accordance with the laws of Scotland, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the service.

Your Content and Data

Where Korero process any personal data on your behalf when performing our obligations under the agreement the parties record their intention that you shall be the data controller and we shall be a data processor and:

You acknowledge and agree that the personal data may be transferred or stored outside the country where you are located in order to carry out the services and our other obligations under the agreement;
You shall ensure that you are entitled to transfer the relevant personal data to us so that we may lawfully use, process and transfer such personal data in accordance with the agreement on your behalf;
We shall process the personal data only in accordance with the terms of the agreement
Each party shall take appropriate technical and organisational measures against unauthorised or unlawful processing of the personal data or its accidental loss, destruction or damage.

Charges and Payment
Korero Spark Services

The Charges for the Korero Spark Services shall be as set out on the applicable order form at the time the applicable Order is placed.

However, Korero reserves the right to change such Charges when it considers it necessary to do so. Korero shall provide the Customer with as much notice as is reasonably possible. Where Bespoke alterations to standard services are requested, Korero reserves the right to add additional charges to the quoted Charge.

Receipts: Korero shall provide the Customer with applicable receipts via the SPP (Service Provider Pro) platform.

Payment: Korero takes payment automatically following the placing of an Order using the payment choice chosen by the Customer via Service Provider Pro.

The Customer shall co-operate with Korero in all matters relating to the Services and shall provide Korero with such information and materials as Korero may reasonably require in order to supply the Services, and ensure that such information is accurate in all material respects.

The Customer should note that, in providing the Services, Korero is not processing, transmitting or storing any payment card details. This is undertaken by third party payment gateways (provided by Customer Payment Service Providers).The Customer must ensure it is compliant with all the applicable rules put in place by the Payment Card Industry.
Korero shall have no responsibility or liability whatsoever for the acts or omissions of any Customer Payment Service Provider.
